2. Scope
These terms apply to all contracts between the provider and users regarding the use of Evylla, including free accounts. Deviating terms of the user do not become part of the contract unless the provider expressly agrees to them in text form.
3. Description of the service
Evylla is a software-as-a-service offering that automatically detects, structures and makes searchable purchase and order information from connected sources, in particular email mailboxes. Detection is automated and may be incomplete or incorrect; Evylla replaces neither bookkeeping nor tax or legal advice. The exact feature set depends on the selected plan.
4. Registration & account
A user account is required. The information provided at registration must be accurate and kept up to date. Credentials must be kept confidential and must not be passed on to third parties. If unauthorised use is suspected, the password must be changed immediately and the provider informed. An account may as a rule only be used by the person it was created for.
5. Connected accounts & content
By connecting a mailbox or another data source you instruct Evylla to retrieve and analyse the available content to the extent required. You warrant that you are entitled to connect that source and that you comply with the terms of the respective provider. You can disconnect sources at any time in your account; data derived from them can be deleted individually or entirely.
6. Plans, passes & subscriptions
Evylla is offered in a free plan and in paid plans: as a time-limited pass (one-off payment) or as a subscription with recurring billing. The applicable features and limits – such as the number of connected accounts or the searchable period – follow from the service description valid at the time of booking. A pass does not renew automatically; a subscription renews for the respective term unless it is cancelled.
7. Prices & payment
All prices include statutory VAT unless stated otherwise. Payments are processed by the payment service provider Stripe, whose terms apply in addition. Payment is due when the order is placed or at the start of the respective billing period. If a payment fails, access to paid features may be suspended until the amount is settled. Invoices and payment receipts are available in the customer portal.
8. Term, cancellation & withdrawal
Subscriptions can be cancelled at any time with effect from the end of the current billing period; cancellation is possible in the account or in the customer portal. A pass that has already been paid for simply ends after the booked period without further cost. Consumers have a statutory right of withdrawal of 14 days; for digital services this right may expire early if performance began at the consumer’s express request before the end of the period and the loss of the right was acknowledged. The right to terminate for good cause remains unaffected.
9. Availability & changes to the service
The provider aims for high availability but does not owe uninterrupted access. Maintenance, faults at upstream providers, force majeure and changes at connected third parties – for example to mail provider interfaces – may lead to restrictions. The provider may continue to develop the service and change features as long as the essential scope of the service is retained and the change is reasonable for users.
10. User obligations
The service must not be used abusively or unlawfully. In particular it is prohibited to connect third-party accounts without authorisation, to run automated bulk requests outside the intended use, to circumvent technical restrictions or to take actions that endanger the security or stability of the service. In the event of serious or repeated breaches the provider may temporarily suspend access or terminate the contract for good cause.
11. Rights to content
Software, design, trademarks and other content of Evylla are protected by copyright and trademark law. Users receive a simple, non-transferable right, limited to the term of the contract, to use the service as intended. You retain all rights to your own content and imported data; the provider processes them solely to deliver the contractual service.
12. Liability
The provider is liable without limitation for intent and gross negligence, for injury to life, body or health and under product liability law. In cases of slight negligence the provider is liable only for breach of essential contractual obligations and limited to the foreseeable damage typical for this type of contract. Any further liability is excluded. No warranty is given for the completeness or accuracy of automatically detected order data; users remain responsible for keeping their own receipts.
13. Data protection
Information on the processing of personal data can be found in the privacy policy and in the plain-language overview “Privacy & security”. Both documents are transparency information and are not part of these contractual terms.
14. Changes to these terms
The provider may amend these terms with effect for the future where this is necessary due to changes in the law, case law or the scope of features. Users are informed of changes in text form at least 30 days before they take effect. If you do not object before the effective date, the changes are deemed accepted; the notice will point out the right to object and its consequences. If you object, either party may terminate the contract as of the effective date.
15. Governing law & place of jurisdiction
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection provisions of the country in which the consumer has their habitual residence remain unaffected. If the user is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is the provider’s registered office. Should any provision be invalid, the validity of the remaining provisions remains unaffected.
